CEOs Are Moving Their Companies to Nevada – Here’s Why
Nevada is the new hotspot for business and growth, and CEOs are moving their compaines here. That’s good news for the state in the years going forward.
Elon Musk famously moved Twitter’s corporate headquarters from Delaware to Nevada, and now, more are following. So, what’s the reason for the move?
“In Nevada, it’s a high bar for liability — directors and executives will only be liable for ‘intentional misconduct, fraud, or a knowing violation of law,'” Benjamin Edwards, law professor at the University of Nevada, Las Vegas told On The Money (via the New York Post). “That insulates company leadership from a lot of claims.”
Of course, having the bar set very high for liability is a plus for companies. It saves them in time, legal costs and everything else that goes along with litigation. It’s definitely a plus for companies looking to relocate to Nevada. According to Columbia Law professor and securities expert John Coffee, it’s a planned thing, too. “There is little doubt that Nevada has been seeking to make itself the most lenient jurisdiction for corporations that incorporate there by reducing the ability of shareholders to sue its managers and directors,” Coffee told On The Money (again, via the New York Post). Coffee added, “Delaware and other jurisdictions provide for broader liability.”
